1. Definitions:
“Affiliate” refers to the individual or entity participating in the ClickBank affiliate marketing program.
“ClickBank” refers to the online platform that facilitates the affiliate marketing program.
“Merchant” refers to the seller or product creator offering products for promotion through the affiliate marketing program.
2. Affiliate Responsibilities:
The affiliate agrees to promote and market the Merchant’s products in compliance with applicable laws and regulations.
The affiliate acknowledges that they are an independent contractor and not an employee of ClickBank or the Merchant.
The affiliate is responsible for accurately representing the Merchant’s products and adhering to any brand guidelines provided.
3. Commission and Payments:
The affiliate will earn a commission for each eligible sale generated through their unique affiliate link.
ClickBank will track and report sales and commissions earned by the affiliate.
Commissions will be paid according to the payment schedule outlined by ClickBank.
4. Promotion Guidelines:
The affiliate agrees not to engage in unethical or illegal promotional activities, including but not limited to spamming, false advertising, or trademark infringement.
The affiliate is responsible for disclosing their affiliate relationship when promoting the Merchant’s products as required by applicable laws and regulations.
5. Intellectual Property:
The affiliate acknowledges that all intellectual property rights in the Merchant’s products and branding are owned by the Merchant.
The affiliate is granted a limited, non-exclusive, revocable license to use approved marketing materials for the purpose of promoting the products.
6. Termination
ClickBank and the Merchant reserve the right to terminate the affiliate’s participation in the program at any time for violation of these terms or for any other reason.
The affiliate may also terminate their participation in the program at any time by providing written notice to ClickBank.
7. Limitation of Liability
ClickBank and the Merchant are not liable for any indirect, incidental, or consequential damages arising from the affiliate’s participation in the program.
8. Governing Law
These terms and conditions are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in India.
9. Amendments
ClickBank and the Merchant reserve the right to modify these terms and conditions at any time by providing notice to the affiliate.
